Terms of Service for QMS Support
These Terms of Service ("Terms") govern your use of the QMS Support platform and services provided by QMS2GO Inc., a Delaware corporation ("QMS2GO," "we," "our," or "us"). By accessing or using QMS Support, you agree to be bound by these Terms.
If you do not agree, you may not access or use the service.
1. About QMS Support
QMS Support is a subscription-based platform that enables quality and operations managers to submit tasks and receive assistance from QMS experts. Tasks may include document creation, document review, advisory services, system organization, or other quality-related work.
You acknowledge that all work delivered through QMS Support is provided “as-is,” without any guarantee of correctness, compliance, or certification outcomes. You remain solely responsible for all regulatory, operational, and compliance obligations within your organization.

3. Eligibility
QMS Support is intended for business use only. You must be at least 18 years old and authorized to act on behalf of your organization to subscribe and use the service.
4. User Accounts
To use QMS Support, you must create an account and provide accurate information. You agree to:

Maintain confidentiality of your login credentials

Notify us immediately if you suspect unauthorized access

Ensure that documents and information you upload do not violate any laws or third-party rights
You are responsible for all activity that occurs under your account.
5. Subscriptions, Billing, and Renewals
QMS Support is offered as a monthly or annual subscription.

No refunds are provided for any reason.

Subscriptions automatically renew unless canceled before the renewal date.

You authorize us to charge your payment method through Stripe.

You may cancel at any time, but cancellations apply only to future billing cycles.
We do not store or process payment card details; Stripe handles all payment information securely.
6. Acceptable Use Policy
You agree NOT to:

Use the service for illegal, fraudulent, or harmful activities

Upload malware, viruses, or malicious code

Access or attempt to access other users’ accounts

Reverse engineer, modify, or interfere with the platform

Scrape, automate, or overload system resources
-
Use QMS Support for personal, non-business, or prohibited purposes
Violation of the Acceptable Use Policy may result in immediate suspension or termination.
7. Confidentiality and Sensitive Information
You may upload confidential and sensitive business documents, including QMS materials, audit records, employee information, and templates.
We will:

Treat all content as confidential

Use documents strictly for task completion

Restrict access to authorized admins, experts, and subcontractors

Require subcontractors to sign NDAs
-
Store data using secure, encrypted systems (DigitalOcean, Google Workspace, Dropbox, etc.)
You acknowledge that some work-in-progress documents may be temporarily accessed or processed on encrypted local devices belonging to authorized team members.
8. Intellectual Property
8.1 QMS2GO Property
QMS2GO retains ownership of:

The QMS Support platform
-
All underlying code
-
System architecture and workflows
-
Branding, logos, and design elements
You may not copy, modify, or reuse any of these materials without permission.
8.2 Client Deliverables
All documents, reports, and materials created by QMS experts for you as part of task execution become your property upon delivery. However, QMS2GO retains the underlying methodologies and internal tools used to produce them.
9. Third-Party Services
By using QMS Support, you also agree to the applicable terms of our service providers, including but not limited to:

Stripe (payments)

Twilio (SMS/MMS processing)

Google Workspace (email, file storage)
-
DigitalOcean, AWS (hosting)
-
Zapier (automation, integrations)
-
OpenAI and other commercial AI APIs (voice transcription and related processing)
We do not control these third-party services and are not responsible for their performance or policies.
10. Disclaimer of Warranties
QMS Support is provided “as-is” and “as available,” without any warranties, express or implied.
We do not guarantee:

Correctness, accuracy, or compliance of any deliverables
-
That tasks will meet regulatory or certification standards
-
That using QMS Support will result in ISO 9001 certification
-
Uninterrupted or error-free service
-
That documents created through QMS Support will be accepted by auditors or regulatory bodies
You assume all risks associated with your use of the service.
11. Limitation of Liability
To the fullest extent permitted by law:

QMS2GO shall not be liable for any indirect, incidental, punitive, special, consequential, or exemplary damages.

QMS2GO’s total liability for all claims shall not exceed the amount paid by you in the three months preceding the claim, or $100, whichever is less.

You agree that your use of all deliverables is at your own risk and that you, not QMS2GO, are responsible for verifying correctness, compliance, and suitability before use.
You accept full responsibility for any business decisions made based on deliverables produced through QMS Support.
12. Service Availability
We may experience outages, maintenance periods, or delays.
You acknowledge that:

No uptime guarantees are provided

Task completion times may vary

We are not liable for downtime, delays, or loss of access
13. Suspension and Termination
We may suspend or terminate your account if:

You fail to pay
-
You violate these Terms

You misuse or attempt to compromise the platform

We determine termination is necessary for security or business integrity
You may terminate your subscription at any time through your account settings.
14. Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
All disputes shall be resolved through binding arbitration, conducted in accordance with the rules of the American Arbitration Association.
You agree to a class-action waiver, meaning disputes must be resolved on an individual basis.
15. Changes to These Terms
We may update these Terms at any time. Updates will be communicated by:

Sending an email notification
Your continued use of QMS Support constitutes acceptance of updated Terms.
